It presents our products, capabilities, and export services to prospective buyers, contractors, distributors, and project owners. This website is not an online store: no prices displayed here constitute a binding offer, and no purchase can be completed directly through the website. All transactions are concluded separately through written quotations, proforma invoices, and sales contracts.

2. Eligibility and Acceptable Use

By using this website, you confirm that you are at least 18 years old and, where you act on behalf of a company, that you are authorized to do so. You agree not to:

• Submit false, misleading, or fraudulent inquiries

3. Product Information and Specifications

We make reasonable efforts to keep product descriptions, dimensions, timber species, finishes, and photographs accurate and up to date. However:

• Solid wood is a natural material. Variations in grain, color, and texture between the images shown on this website and the delivered product are normal and are not considered defects.
• Product specifications, available species, and construction methods may change without prior notice.
• Photographs and drawings on this website are illustrative. Binding specifications are only those stated in our written quotation, approved shop drawings, or sales contract.

4. Inquiries, Quotations, and Orders

4.1 Inquiries

Submitting an inquiry through this website, email, or WhatsApp does not create any contractual obligation on either party. It is a request for information or a quotation only.

4.2 Quotations

Quotations we issue are valid for the period stated on the quotation (typically 14 to 30 days) and are subject to confirmation of final specifications, quantities, and delivery terms. Prices may be quoted on FOB, CNF/CFR, or other Incoterms as stated in the quotation, and may be adjusted if raw material costs, freight rates, or exchange rates change materially before order confirmation.

4.3 Order Confirmation

An order becomes binding only when both parties have agreed in writing (including by email) to a proforma invoice or sales contract covering specifications, quantities, price, payment terms, and delivery terms, and any agreed down payment has been received.

5. Payment and Delivery

• Payment terms, currency, and banking details are stated in the proforma invoice or sales contract. Common terms include a down payment upon order confirmation with the balance payable before shipment, unless otherwise agreed.
• Delivery lead times stated on this website or in correspondence are estimates. Confirmed lead times are those stated in the sales contract, and reasonable extensions may occur due to timber drying schedules, custom production requirements, or shipping availability.
• Risk and title transfer according to the Incoterms agreed in the sales contract.
• Import duties, taxes, and clearance costs in the destination country are the buyer's responsibility unless the agreed Incoterm states otherwise.

6. Inspection, Claims, and Returns

• Buyers are encouraged to inspect goods, or appoint a third-party inspector, before shipment at our facility in Boyolali.
• Any claim regarding quantity or visible damage must be reported in writing, with photographs, within 7 days of container unstuffing at destination.
• Claims for manufacturing defects must be reported within the warranty period stated in the sales contract.
• Because our products are largely made to order and exported internationally, returns are not accepted except where a claim is verified and agreed in writing. Agreed remedies may include replacement, repair, or a negotiated credit.
• Damage caused by improper storage, installation, exposure to excessive moisture, or failure to finish/seal the product as recommended is excluded from any claim.

7. Intellectual Property

All content on this website, including text, photographs, drawings, product designs, logos, and layout, is the property of CV Nusantara Wood Abadi or its licensors and is protected by applicable copyright and intellectual property laws. You may view and print pages for your own business evaluation purposes. You may not reproduce, distribute, or use our content for commercial purposes, including on competing websites or marketing materials, without our prior written consent.

Where buyers supply drawings, designs, or brand materials for custom production, the buyer warrants that it holds the necessary rights to those materials and indemnifies us against any third-party intellectual property claims arising from their use.

8. Disclaimer of Warranties (Website)

This website is provided on an "as is" and "as available" basis. While we strive for accuracy, we do not warrant that the website will be uninterrupted, error-free, or free of viruses, or that all information is complete or current at all times. Product warranties, where given, apply only to goods sold under a written sales contract and are governed by that contract, not by this website.

9. Limitation of Liability

To the maximum extent permitted by law, CV Nusantara Wood Abadi shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of, or inability to use, this website, including loss of profits, loss of business, or loss of data. Nothing in these Terms excludes liability that cannot be excluded under applicable law. Liability arising from a sales transaction, if any, is governed by the relevant sales contract and limited as stated there.

10. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemic, war, government action, export or import restrictions, port congestion, vessel delays, or shortages of raw materials or transport.

11. Privacy

Your use of this website is also governed by our Privacy Policy, which explains how we collect and handle personal data submitted through inquiries and contact forms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising from the use of this website shall first be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be submitted to the competent courts in Indonesia, unless a sales contract between the parties specifies a different dispute resolution mechanism, in which case that contract prevails for matters relating to the transaction.
